ICGN Milan 2018 – speaking at the Stewardship panel

ICGN’s Annual Conference 2018 was held in Milan. It was hosted by Assogestioni in partnership with UniCredit. The four day event was a tremendous success and welcomed over 450 delegates from 38 regions. The aim of the conference was to help build a consensus around the near term priorities for ensuring successful and sustainable companies.  Among the speakers there were some of Italy’s most prominent leaders.

Executive Remuneration. A Comparative Overview

Guido Ferrarini and Maria Cristina Ungureanu, “Executive Remuneration. A Comparative Overview”, in Jeffrey Gordon and Georg Ringe (eds), Oxford Handbook of Corporate Law and Governance 2018, 334-362

This chapter, co-authored with prof. Guido Ferrarini, examines current trends in the regulation and practice of executive remuneration, particularly emphasizing incentives like stock options and long-term pay. It first outlines the main problems of executive pay from the perspective of agency costs theory, banking theory, and corporate social responsibility. It then discusses the main policy issues relating to executive pay, from design problems and remuneration governance to disclosure of pay policies and amounts, and prudential regulation of pay structure at banks. It considers the regulation of pay governance and disclosure, with special reference to EU law, comparative law, and international practice. It explores the rise of shareholder engagement in listed companies across the Atlantic and the impact of say on pay rules on shareholder activism. Finally, it analyzes the implications of international principles and standards, the Dodd-Frank Act, and CRD IV for the regulation of the pay structure at banks and other financial institutions.

2017 Italy Corporate Governance Conference

Cristina Ungureanu – among the speakers at thee 2017 Italy Corporate Governance Conference, organized by Assogestioni and Assonime in cooperation with the OECD and with the support of the Italian Stock Exchange.

Since 2014, this annual conference represents an opportunity for an open dialogue between public institutions, issuers and investors on various corporate governance topics, with the aim to identify the best ways to support the key role of corporate governance in value creation and economic growth.
The attendance of high institutional representatives as the Minister of Economy, Pier Carlo Padoan, confirms the fundamental role of corporate governance for the financial system and the importance for the Italian institutions to be involved in such a dialogue.

The aim of the Corporate Governance Workshop is to provide concrete information and proposals for promoting the attainment of excellence in the corporate governance of Italian companies, based on the annual activity of the Observatory on Corporate Governance Excellence in Italy, created by The European House – Ambrosetti in 2004.

Salzburg Global Seminar: Corporate Governance in the Global Economy

Cristina Ungureanu participated at the October 2015 inaugural session of the new multi-year series of the Salzburg Global Forum on Corporate Governance. The event brought together in Salzburg 50 directors, senior managers, lawyers, judges, regulators, policy-makers, and academics from 16 different countries.

At the session, entitled Corporate Governance in the Global Economy: The Changing Role of Directors, participants were able to discuss their own professional experiences under Chatham House Rules, which provided a comfortable and open setting to share diverse and diverging opinions.

The session was hosted in partnership with BNY Mellon, Goldman Sachs, and Shearman & Sterling LLP, and was sponsored by Barclays, LIXIL, Deloitte Touche Tohmatsu, Mars, Potter Anderson & Corroon LLP, the state of Delaware, and Warburg Pincus, with additional support from the University of Pennsylvania.
